BNP Paribas and Rabobank International Holding BV, shareholders of BNP Paribas Bank Polska (BNP Paribas BP), have started the process of accelerated bookbuilding targeting only selected investors meeting certain criteria (ABB), the purpose of which is to sell no more than 7,472,786 ordinary bearer shares of the bank, representing in total no more than 5.07% of the share capital of the bank and representing no more than 5.07% of the total number of votes in the bank, BNP Paribas BP reported.
“1. BNP Paribas SA offers for sale in ABB no more than 1,858,911 sold shares, constituting no more than 1.26% of the share capital of the bank and the total number of votes in the bank; and
2. Rabobank International Holding B.V. offers for sale in ABB no more than 5,613,875 sold shares, constituting no more than 3.81% of the share capital of the bank and the total number of votes in the bank, “the release reads.
The PKO BP Brokerage House acts as the sole global coordinator and bookkeeper in connection with ABB.
ABB can be terminated at any time. Shareholders reserve the right to change ABB’s terms or terms at any time, and to suspend ABB or cancel ABB at any time, also indicated.
“It is the intention of BNP Paribas SA to remain a strategic investor in the bank and further support the bank in its further development. After ABB ends and assuming the sale of all the shares sold as indicated above:
1. BNP Paribas SA will directly hold 93,501,327 shares in the bank representing approximately 63.38% of the total number of shares and votes in the bank, and together with other entities of the BNP Paribas SA capital group, it will control a total of 128,991,553 shares in the bank representing approximately 87 . 44% of the total number of shares and votes in the bank;
2. Rabobank International Holding B.V. will not own any shares of the bank ” according to BNP Paribas BP.
