Echo announced tender offer for 8.72 million Archicom shares at PLN 18.3 per share

Echo Investment and DKR Echo Investment (acquiring entity, subsidiary of Echo) announced a tender offer to subscribe for the sale of 8.72 million shares of Archicom at PLN 18.3 apiece, the callers said.

“The tender offer is announced for 8,724,854 Archicom shares […] entitling to a total of 10,838,468 votes at the general meeting, that is:

a) 6,611,240 series A ordinary bearer shares, of which one such share entitles to one vote at the general meeting, entitling to a total of 6,611,240 votes at the general meeting, which together constitute approx. 20.74% of the total number of votes at the general meeting general meeting and about 25.75% of the total number of shares in the share capital […] and

b) 2,113,614 registered B1 series shares, of which one such share entitles to two votes at the general meeting, entitling to a total of 4,227,228 votes at the general meeting, which together constitute approximately 13.26% of the total number of votes at the general meeting and about 8.23% of the total number of shares in the share capital.

The duration of the call is as follows:

– date of announcement of the tender offer: 23 August 2022

– subscription start date: August 24, 2022

– end date of accepting subscriptions: September 22, 2022

– planned date of the transaction of acquisition of ordinary shares on the WSE: September 27, 2022.

– planned date of the purchase of registered shares: September 27, 2022.

– planned date of settlement of the share purchase transaction: September 28, 2022.

According to the Archicom report for Q1 this year, the company’s share capital amounted to PLN 256,703,430 and was divided into 25,670,343 shares with a nominal value of PLN 10 each.

The Archicom Group is a nationwide developer, leader of the Wrocław housing market, which plans to start projects in other large Polish cities in the coming months. The company has been listed on the WSE since 2016. It belongs to Echo Investment.
